Washington LLC Filing Fees for 2026

Every dollar Washington charges an LLC comes from a published fee schedule, with one exception worth knowing up front. The base fee to form an LLC is $180. Filing online through the CCFS portal adds a processing surcharge that the Secretary of State does not publish, which is why quoted totals for online filings vary from source to source. The figures below are the statutory fees; the surcharge applies only to online submissions.

Certificate of Formation: $180

The Washington Secretary of State charges $180 to file a Certificate of Formation (fee set by WAC 434-112-085(7)(a); RCW 25.15.071 is the formation statute). Paper filings pay exactly $180. CCFS online filings pay $180 plus the portal surcharge. Expedited service is an optional $100 on top.

Annual Report: $70

The annual report fee is $70, reflecting the 2026 increase under SHB 2248 (codified in RCW 23.95.515). The previous fee was $60, so any page still quoting $60 is out of date. The report is due by the last day of your anniversary month, and filing late adds a $25 delinquency fee.

Year One, Added Up

Forming through us runs $199 plus the $180 state fee, $379 before any online surcharge, and the first year of registered agent service is already inside that number. From year two on, plan for the $70 annual report plus the $99 agent renewal.

One budgeting note beyond filing fees: Washington has no state income tax but levies a business and occupation (B&O) tax on gross receipts through the Department of Revenue. That sits entirely outside the Secretary of State's fee schedule.
